Terms & Conditions

§1. General Provisions

1. These Terms and Conditions set out the rules for using the CottonLine online store, available at:

https://store.cottonline.pl

2. The online store is operated by:

3. The Store sells products via the Internet.

4. These Terms and Conditions specify, in particular:

* the rules for placing and processing orders,

* the rules for concluding sales contracts,

* the rules for making payments,

* the rules for product delivery,

* customers' rights and obligations,

* the rules for withdrawal from contracts,

* the rules for submitting and processing complaints,

* the rules for using the online store.

5. Information concerning products, their main characteristics, prices and available delivery methods is provided on the Store's website.

6. Information presented in the online store does not constitute an offer within the meaning of the Polish Civil Code, but an invitation to conclude a contract, unless the content of the relevant information indicates otherwise.

§2. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

Store – the CottonLine online store available at https://store.cottonline.pl.

Seller – the entity operating the Store, as specified in §1 of these Terms and Conditions.

Customer – a natural person, legal person or organisational unit with legal capacity making purchases in the Store.

Consumer – a natural person entering into a legal transaction with the Seller that is not directly related to their business or professional activity.

Entrepreneur with consumer rights – a natural person entering into a contract directly related to their business activity, where the content of that contract indicates that it is not of a professional nature for them.

Product / Goods – a product offered by the Seller in the Store.

Order – a declaration of intent made by the Customer aimed at concluding a sales contract for a Product or Products with the Seller.

Sales Contract – a sales contract for a Product concluded between the Customer and the Seller through the Store.

Business Days – Monday to Friday, excluding public holidays in Poland.

§3. Technical Requirements

1. To use the Store, the Customer must have:

* a device with Internet access,

* an up-to-date web browser,

* an active e-mail address when placing an order.

2. The Store uses cookies and other technologies necessary for the proper functioning of the website. Detailed information concerning the use of cookies is available in the Privacy and Cookies Policy.

3. The Customer is required to use the Store in accordance with the law, these Terms and Conditions and generally accepted standards of conduct.

4. The Customer is prohibited from providing unlawful content, in particular content that infringes the rights of third parties.

§4. Products and Prices

1. Information about Products is provided on the individual Product pages in the Store.

2. The Seller makes every effort to ensure that information about Products, in particular their photographs, colours, dimensions, characteristics and descriptions, is current and accurate.

3. The colours of Products displayed on a device screen may differ slightly from the actual colours of the Products due to monitor or display settings and the individual characteristics of the device.

4. All Product prices displayed in the Store are gross prices and include VAT, unless applicable law provides otherwise.

5. The Product price does not include delivery costs unless otherwise stated on the Product page or during the ordering process.

6. Before placing an Order, the Customer is informed about:

* the main characteristics of the Product,

* the total Order price, including taxes,

* delivery costs,

* available payment methods,

* available delivery methods.

7. Promotions and price reductions are valid for the period specified in the Store or until stocks run out, unless the terms of a particular promotion provide otherwise.

8. Where a reduced price is displayed, the Seller also provides information about the lowest price of the Product applicable during the period required by law.

§5. Placing Orders

1. Orders may be placed through the Store 24 hours a day, 7 days a week, subject to technical interruptions.

2. To place an Order, the Customer:

1. selects the Product and quantity,

2. adds the Product to the shopping cart,

3. proceeds to the order form,

4. provides the information necessary to process the Order,

5. selects the delivery method,

6. selects the payment method,

7. reviews the Order summary,

8. confirms the Order by clicking a button containing an appropriate statement indicating the payment obligation.

3. Before placing an Order, the Customer has the opportunity to review and correct the information provided.

4. Placing an Order constitutes an offer by the Customer to conclude a sales contract for the Products included in the Order.

5. After placing an Order, the Customer receives an e-mail confirming receipt of the Order.

6. The Sales Contract is concluded when the Seller confirms acceptance of the Order for processing, unless applicable law or information provided during the ordering process provides otherwise.

7. The Seller may refuse to process an Order in the event of a Product being unavailable, an incorrect price resulting from an obvious system error, or for other justified reasons. The Customer will be informed of this without undue delay.

8. If the Seller is unable to fulfil all or part of an Order, the Seller may:

* inform the Customer of the expected fulfilment date,

* propose a change to the Order,

* cancel the unavailable part of the Order.

9. If the Customer has already paid for a Product whose Order has been cancelled, the Seller shall refund the corresponding payment.

§6. Payments

1. The Customer may make payment using the payment methods available in the Store at the time of placing the Order.

2. Available payment methods may include, in particular:

* electronic payments,

* card payments,

* bank transfer,

* other methods indicated in the Store.

3. Detailed information concerning available payment methods and any additional charges is provided during the ordering process.

4. If payment is not received within the applicable period where the selected payment method requires a bank transfer, the Seller may contact the Customer to clarify the situation.

5. The Seller shall issue an appropriate sales document for each Order in accordance with applicable law.

§7. Delivery

1. Products are delivered to the address provided by the Customer when placing the Order or using the selected collection method, if such a method is available.

2. Available delivery methods and their current prices are presented during the ordering process.

3. The estimated Order processing time is indicated in the Store or provided to the Customer in the Order confirmation.

4. Delivery time depends on the selected delivery method and is calculated from the moment the parcel is handed over to the carrier.

5. In the event of a delivery delay, the Seller will take steps to determine the status of the shipment and inform the Customer of the available options.

6. In the case of consumers, the Seller is responsible for the shipment in accordance with applicable law.

§8. Right of Withdrawal

1. A Consumer or an Entrepreneur with consumer rights who has entered into a distance contract has the right to withdraw from the contract without giving any reason within 14 days from the date of receipt of the Product, subject to exceptions provided for by law.

2. Detailed rules concerning withdrawal from a contract, including the method of submitting a return request, deadlines and rules for refunding payments, are set out in the "Returns & Complaints" section.

3. The direct cost of returning the Product shall be borne by the Customer unless applicable law provides otherwise or the Seller agrees to cover such costs.

4. In the event of a valid withdrawal from the contract, the Seller shall refund the payments received from the Customer in accordance with applicable law.

5. The right of withdrawal does not apply in cases specified by law, in particular with regard to certain Products made according to the Customer's individual specifications or serving to meet the Customer's individual needs.

§9. Complaints

1. The Seller is responsible towards consumers for the conformity of the Product with the contract in accordance with applicable law.

2. If a Product is not in conformity with the contract, the Customer may exercise the rights provided by law, including requesting that the Product be repaired or replaced and, in cases provided for by law, requesting a price reduction or withdrawing from the contract.

3. A complaint may be submitted:

by e-mail to: office@cottonline.pl,

* in any other manner permitted by applicable law.

4. A complaint should preferably include:

* Order number,

* Customer's details,

* description of the problem,

* preferred method of resolving the matter,

* photographs of the Product, if they may assist in processing the complaint.

5. The Seller shall process complaints within the period required by applicable law.

6. If, in connection with a justified complaint, it is necessary to return the Product, the costs associated with the complaint shall be borne by the Seller to the extent required by applicable law.

§10. Products Made to Individual Order

1. Certain Products may be made to the Customer's individual order, in particular according to a specified colour, quantity, parameters or other individual requirements.

2. In the case of Products made according to the Customer's individual specifications, the right of withdrawal may be excluded where the conditions set out in applicable law are met.

3. Information concerning the nature of the Product and any exclusion of the right of withdrawal shall be provided to the Customer before the contract is concluded.

4. Products made to individual order may be subject to different processing times, which will be provided to the Customer before the Order is placed.

§11. Sales to Businesses

1. The Store sells Products both to Consumers and to businesses.

2. In the case of Customers purchasing in connection with their business activities, the provisions of law applicable to contracts between businesses shall apply, taking into account any provisions granting specific rights to Entrepreneurs with consumer rights.

3. A business Customer is required to provide correct company details, in particular the company name, address and Tax Identification Number (NIP), where required for issuing a sales document.

4. In the case of wholesale orders, individual orders or orders requiring special delivery arrangements, the Seller may prepare an individual commercial offer.

§12. Product Reviews

1. If the Store allows Customers to publish Product reviews, the Seller takes steps to ensure that published reviews come from Customers who have actually purchased or used the relevant Product, in accordance with the rules governing the review system.

2. The Seller does not publish sponsored reviews as independent consumer reviews.

3. The Seller may moderate or remove reviews containing unlawful, offensive or promotional content, content that infringes the rights of third parties, or content unrelated to the Product being reviewed.

4. If the review system does not allow the Seller to verify whether a review comes from a person who has purchased or used the Product, information about how reviews are published shall be provided to Customers in the Store.

§13. Personal Data

1. The Seller is the controller of Customers' personal data.

2. Personal data is processed in particular for the purposes of:

* processing Orders,

* concluding and performing contracts,

* processing payments and deliveries,

* handling complaints and returns,

* complying with legal obligations,

* communicating with the Customer.

3. Detailed information concerning the processing of personal data, Customers' rights and the use of cookies is available in the Privacy and Cookies Policy.

§14. Intellectual Property Rights

1. All content available in the Store, including photographs, graphics, texts, logos, trademarks and marketing materials, may be protected by copyright or other intellectual property rights.

2. Without the prior consent of the Seller, copying, distributing, modifying or using Store materials beyond the scope permitted by law is prohibited.

§15. Out-of-Court Consumer Dispute Resolution

1. Consumers may use out-of-court methods of resolving consumer disputes in accordance with applicable law.

2. Information concerning available assistance and out-of-court dispute resolution procedures can be found, among other places, on the websites of the relevant consumer protection authorities.

3. The use of out-of-court dispute resolution procedures is voluntary unless applicable law provides otherwise.

§16. Amendments to the Terms and Conditions

1. The Seller may amend these Terms and Conditions for important reasons, in particular in the event of:

* changes in applicable law,

* changes to the operation of the Store,

* introduction of new services or functionalities,

* the need to correct errors or clarify provisions of the Terms and Conditions.

2. Amendments to the Terms and Conditions do not affect the rights of Customers arising from Orders placed before the amendments come into force.

3. Customers who have an account in the Store will be informed of material changes to the Terms and Conditions in accordance with applicable law.

4. The current version of the Terms and Conditions is always available on the Store's website.

§17. Final Provisions

1. Matters not covered by these Terms and Conditions shall be governed by Polish law, in particular the provisions of the Polish Civil Code and the Act on Consumer Rights.

2. The provisions of these Terms and Conditions are not intended to limit or exclude rights granted to consumers under mandatory provisions of applicable law.

3. If any provision of these Terms and Conditions is found to be invalid or ineffective, this shall not affect the validity of the remaining provisions.

4. These Terms and Conditions are available free of charge on the Store's website in a manner that allows them to be obtained, reproduced and saved.

5. These Terms and Conditions enter into force on 12 August 2026.
